Terms of Service

These Terms govern your use of StockFlow (the “Platform”), operated by Stock Flow Market (“StockFlow”, “we”, “us”). By creating an account or transacting, you accept them. If you do not agree, do not use the Platform.

1. What StockFlow is — and is not

StockFlow is a venue that connects buyers and sellers of excess and surplus inventory. We are not a party to any transaction between a buyer and a seller. We do not own, inspect, store, ship, or take title to any goods listed. We are not a bank, broker, escrow agent, freight forwarder, or insurer.

Every contract of sale is formed directly between the buyer and the seller. Our role is limited to hosting listings, facilitating communication, and arranging payment processing through Stripe.

When you place a bid, your payment card is authorised for the bid amount — funds are held by your card issuer but not captured. If you are outbid, the authorisation is released automatically. If you win, the authorisation is captured when the auction settles.

Bids are binding and cannot be retracted. Authorisation holds may reduce your available credit for several business days even after release, which is a function of your card issuer and outside our control.

6. Payments, fees and payouts

Payments are processed by Stripe. StockFlow never receives or stores your full card number or security code.

7. No escrow — when the seller is paid

StockFlow does not operate an escrow service and does not hold buyer funds pending inspection or acceptance of goods.

When a payment succeeds, the seller's share is routed to their Stripe account and becomes subject to Stripe's standard payout schedule. There is no inspection period, acceptance window, or hold-back administered by StockFlow. Buyers should treat every purchase as a direct payment to the seller.

8. Disputes, refunds and chargebacks

Because each sale is a contract between buyer and seller, refunds and returns are a matter between those parties. Sellers should publish their own returns policy.

The seller is the merchant of record for card-network purposes. Chargebacks and dispute liability, including any fees, fall on the seller. StockFlow may assist by supplying transaction records but is not responsible for the outcome and does not guarantee any refund.

9. Taxes

Prices are exclusive of tax unless stated otherwise, and StockFlow does not currently calculate, collect, or remit sales tax, VAT, or GST on transactions. Each party is responsible for determining and meeting its own tax obligations, including any resale-certificate or exemption documentation.

Where marketplace facilitator legislation places a collection obligation on StockFlow, we will comply and will update these Terms and the checkout accordingly.

10. Content, reviews and conduct

You retain ownership of the listings, images, demand posts and reviews you submit, and grant StockFlow a non-exclusive, worldwide, royalty-free licence to host, display and distribute that content for the purpose of operating and promoting the Platform.

Reviews are moderated before publication. We may remove any content that is unlawful, misleading, abusive, infringing, or that we reasonably believe breaches these Terms. You must not scrape the Platform, interfere with its operation, or attempt to access other users' data.

11. Disclaimers

The Platform is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that listings are accurate, that sellers will perform, that goods will meet your expectations, or that the Platform will be uninterrupted or error-free. Verification of a seller's payout account confirms identity to Stripe's standard — it is not an endorsement of that seller or of any listing.

12. Limitation of liability

StockFlow is not a party to any transaction between a buyer and a seller. To the fullest extent permitted by law, StockFlow accepts no liability arising out of or relating to the Platform or to any transaction conducted through it — including, without limitation, liability for goods that are not delivered, not as described, defective, or unfit for purpose; for a seller's or buyer's non-performance; for lost profits, revenue, data or goodwill; and for any indirect, incidental, special, consequential or punitive damages.

Any claim you have concerning goods or payment lies against the other party to that transaction, not against StockFlow.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded — including liability for fraud, for wilful misconduct, or for death or personal injury caused by negligence. Some jurisdictions do not permit the exclusion of certain warranties or damages, so parts of this section may not apply to you; in that event our liability is limited to the minimum permitted by law.

13. Indemnity

You agree to indemnify StockFlow against claims, losses and reasonable legal costs arising from your listings, your transactions, your breach of these Terms, or your violation of any law or third-party right.

14. Changes, termination and governing law

We may amend these Terms; material changes will be notified by email or on the Platform, and continued use after the effective date constitutes acceptance. You may close your account at any time. Sections that by their nature should survive termination — fees owed, disclaimers, limitation of liability, indemnity — do survive.

These Terms are governed by the laws of the United States, without regard to conflict-of-laws rules. StockFlow operates as an online-only service; the parties agree that any dispute may be raised and conducted remotely by electronic means, and that hearings, filings and correspondence may take place online where the forum permits.

Privacy Policy

This policy explains what personal data StockFlow collects, why, and what rights you have. The data controller is Stock Flow Market, contactable at stockflowsupportcenter@gmail.com.

1. What we collect

We do not receive or store full card numbers, expiry dates, or security codes. Card details are entered directly into Stripe's hosted fields and travel from your browser to Stripe.

2. Why we use it

We do not use your data for advertising or profiling, and we never sell personal data.

3. What other people can see

Some information is public by design. Listings, demand posts, seller display names, locations and approved reviews are visible to anyone. Your email address, order history and bid history are not public. A seller sees the billing email for their own sales; a buyer sees only their own purchases.

We use a small number of processors, each handling data on our instructions:

We may also disclose data where legally required, or in connection with a merger or acquisition, in which case you will be notified.

5. Storage and retention

Data is stored on Google Cloud infrastructure and may be processed in the United States. We keep account data while your account is open, and transaction records for as long as tax and accounting rules require (typically seven years). Contact-form messages are kept while needed to resolve your enquiry.

6. Cookies and local storage

We use no advertising or third-party tracking cookies. The Platform uses your browser's sessionStorage and localStorage to keep you signed in and remember interface preferences. Stripe may set cookies necessary for fraud prevention on checkout pages.

7. Your rights

Depending on where you live, you may have the right to access, correct, delete, export or restrict processing of your personal data, to object to processing, and to withdraw consent. Under the GDPR you may also complain to your local supervisory authority. Under the CCPA/CPRA, California residents may request disclosure or deletion and may not be discriminated against for exercising those rights — note again that we do not sell personal data.

To exercise any right, email stockflowsupportcenter@gmail.com. We will respond within the period required by applicable law. Note that content already published — such as a completed transaction record — may need to be retained for legal reasons even after account deletion.

8. Children

The Platform is not intended for anyone under 18 and we do not knowingly collect their data. If you believe a minor has registered, contact us and we will delete the account.

9. Changes

We will post any changes here and update the date at the top. Material changes will be notified by email.
